Executive Equity and Incentives Attorney
Our client is a prominent law firm specializing in delivering high-quality legal services across multiple practice areas, including corporate transactions, litigation, and executive compensation. This distinguished legal firm is seeking an attorney to join its team. The ideal candidate should be familiar with equity plan structures, executive agreements, and M&A transactions.

Focus:
Partner with clients to design and execute equity plan strategies.
Advise on and draft executive employment agreements and related documents.
Contribute to executive pay issues during mergers, acquisitions, and public offerings.
Create and analyze proxy statements along with relevant SEC documentation.
Provide guidance on compliance with relevant sections of the Internal Revenue Code, including 83, 162(m), 280G, and 409A.
Skill Set:
1 to 5 years of experience in fields like executive rewards, tax policies, or benefits management.
Additional experience with public offerings, preparing proxy statements, and navigating executive compensation provisions under the Internal Revenue Code (Sections 83, 162(m), 280G, and 409A) is highly valued.
Experience managing pay structures for both private and public sector companies.
Ability to manage multiple projects efficiently while maintaining a high level of accuracy and attention to detail.
Commitment to maintaining client confidentiality and delivering high-quality legal services.
A strong academic background and proven excellence in both oral and written communication.
Ability to show initiative and a proactive approach to client needs.
