Due to industry growth and an increased need, they are looking to hire a Corporate Attorney to join their dedicated legal team.

As a Corporate Attorney, you will play a pivotal role in providing expert legal counsel in various business transactions. Your proficiency in preparing and negotiating a diverse array of corporate and transactional documents will be integral in providing comprehensive legal support that empowers clients to achieve their business aspirations. Through your expertise and dedication, you will contribute to the success of our client’s mission to foster innovative and sustainable energy projects.

Focus:

• Skillfully draft and negotiate a diverse range of corporate and transactional documents, such as entity formation and governance documents, operating agreements, supply agreements, purchase agreements, compliance documents, and merger and acquisition agreements.
• Represent clients in the negotiation, drafting, and review of a wide range of business transactions, including mergers and acquisitions, joint ventures, partnerships, and commercial contracts.
• Providing comprehensive legal advice on corporate governance, compliance, risk management, and other related matters.
• Conduct thorough due diligence and legal research to ensure transactions comply with all relevant laws and regulations.
• Prepare and review legal documents, agreements, and contracts with meticulous attention to detail.
• Collaborate with internal and external stakeholders to develop effective strategies that align with clients’ business goals.
• Build meaningful client relationships through effective communication and understanding their specific needs to provide tailored legal guidance.
• Offer strategic legal counsel on matters related to corporate governance, compliance, and risk management, with a keen eye for detail and accuracy.
• Conduct thorough due diligence and meticulous legal research to ensure that all documents and transactions adhere to applicable laws and regulations.
• Collaborate closely with internal and external stakeholders to develop and execute effective legal strategies that align with clients’ overarching business objectives.

Skill Set

• Possess a minimum of 5 years of experience as an attorney, with a proven track record in corporate law and transactions.
• Must be able to professionally interact with clients, forging strong relationships and understanding their unique needs.
• Must demonstrate exceptional attention to detail to ensure accuracy and compliance in all legal documentation.
• A strong work ethic is essential, showcasing commitment to delivering high-quality legal services and meeting client expectations.
• Strong interpersonal and communication skills are critical for effective collaboration with clients, colleagues, and external parties.
• A distinguished academic background in law from a reputable institution is required.
• Must hold a valid and active license to practice law in MI.
